1. Who these terms are between
These terms are an agreement between you and MindShift Agency, a Texas limited liability company ("MindShift", "we", "us"). They cover your use of the MindShift Platform on any site that runs on it.
Providers use the platform to offer their own programs, coaching or services on their own sites. What those include, what they cost, refunds, sessions and advice are between you and that provider, on its own terms; we are not a party to them.
How we handle your personal data is described in our Privacy Policy.
2. Your account
- You must be 18 or older.
- You accept these terms when you create your account, and when you sign in. We record which version you accepted, and ask you again when we make a material change.
- Give accurate information and keep your password safe. You are responsible for what happens under your account. One person per account; don't share your sign-in.
- Signing up on a provider's site makes you that provider's client. Joining a second provider happens only if you agree on its "Join" screen.
3. What the platform provides
The platform gives you tools for personal and business development, such as a journal, Compass, Wealth Wheel and Desire Matrix, Human Design and Vedic chart calculations, learning content and business boards. Each provider chooses which of these to offer on its site. We may add, change or remove features.
4. Not professional advice
Charts, assessments, prompts, learning content and anything the platform generates, including with AI, are for reflection and personal development only. They are not medical, psychological, financial, legal, tax or investment advice. Human Design and astrology are interpretive frameworks, not science. Don't make health, financial or legal decisions on them alone; consult a qualified professional.
5. Your content
- You own what you create: journal entries, goals, board content and everything else you put on the platform.
- You give us a licence to store, display, process and transmit your content only to provide the service to you and to the people you share it with, including connecting it across your tools as the Privacy Policy describes. The licence ends when your content is deleted, except for copies the law requires us to keep and backups until they expire.
- We do not use your content to advertise to you, and we do not sell it.
- Sharing is your choice. When you share a desire or a board, the people you share it with can see it, and change it if you give them edit access, until you stop sharing or they leave. You are responsible for what you choose to share.
Businesses
One person can own several businesses on the platform. A business's boards belong to the business, and its owner decides who can see them. If you leave a business, you lose access to its boards, including ones you created.
Communities
If you post in a provider's community, what you post is visible to that community's members, and you give the provider and us a licence to show it there. The provider's owners and admins moderate their community under these terms and their own guidelines; they, and we, can still see posts after their authors delete them.
Provider content
Lessons, templates, prompts and other materials a provider publishes belong to that provider or its licensors. Use them only for your own participation in its programs.
6. AI features
- Some features use AI services to draft suggestions. AI output can be wrong, incomplete or biased; review it before relying on it.
- AI features read only what you are allowed to see.
- Depending on who offers a feature, it runs on our AI account, the provider's own account, or your business's own account. If your business connects its own account, its use of that AI service is also governed by its agreement with that service, and it pays for that usage. We keep the key encrypted and use it only for that business's features.
7. Payments
A provider sets the price of its programs. If it takes payment through the platform, payments are processed by Stripe under Stripe's terms. Refunds and cancellations follow the provider's terms.
8. Suspension and ending
- You can stop using the platform at any time. You can ask us to suspend your account, or to delete everything we hold about you (see the Privacy Policy, section 9).
- We don't delete accounts; we suspend them. We may suspend an account that breaks these terms, puts others at risk, or where the law requires it: across the whole platform, or a provider may suspend you from its own site and its linked businesses while you can still use other providers' sites. A suspension keeps your data and can be lifted. Where it is reasonable, we will tell you first and give you a chance to put things right.
- Apart from content you delete yourself, and a provider's copy you ask that provider to remove, your data is deleted only when you ask us to delete everything.
- If a provider stops using the platform or removes you as a client, your account and your own content stay yours, your person record and charts stay with MindShift until you ask us to delete them, and that provider's access ends.
- Sections 4, 5 (for licences already given), 9, 10 and 12 continue after these terms end.
9. Disclaimers
The platform is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the platform will be uninterrupted or error-free or that any result will follow from using it. Nothing in these terms limits rights that the law of your country gives you and that cannot be excluded.
10. Limits on liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability to you is limited to the greater of what you paid us directly in the 12 months before the claim and 100 US dollars. Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
11. Changes to these terms
We will tell you about material changes in the app or by email before they take effect. If you keep using the platform after that, the new terms apply. If you don't agree, stop using the platform; you can ask us to suspend your account, or to delete everything we hold about you (Privacy Policy, section 9).
12. Law and disputes
These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules, and disputes go to the state or federal courts in Texas. If you are a consumer in the EU, the UK or elsewhere, you keep the protection of the mandatory laws of the country where you live and may bring proceedings in your own courts.
13. Acceptable Use Rules
These rules keep every site on the platform safe. They apply to everyone: clients, business members, provider staff and administrators.
Respect people
- Don't harass, threaten, bully or demean anyone, including in shared desires, board notes, coach notes and communities.
- Don't post content that is hateful, sexually explicit or violent, or that exploits anyone.
Respect other people's data
- Only enter someone else's personal data when you have the right to: adding a client's birth data as a provider, inviting someone by email, or writing about a team member on a board.
- Provider staff may use what clients share with them only to serve those clients: not copied out for unrelated purposes, sold, or used for marketing without the client's permission.
- Don't invite people who haven't asked to be involved, or use invitations to send unwanted messages.
- Business owners are responsible for having a proper basis to put their team members' information on boards.
- Only upload files you have the right to share, and remove personal details, such as employee names, that aren't needed.
In a community
- Follow the guidelines the provider shows when you join.
- Use a display name that doesn't impersonate anyone.
- Don't post someone else's private information, including what they told you in a coaching session or on a shared board.
- No spam, and no selling unless the provider allows it.
- Report posts that break the rules, and don't make false reports.
- Moderators act on reports in good faith and consistently, prefer hiding to deleting, and use what they see in moderation, including deleted posts and who reported what, only to moderate.
Don't misuse the platform
- Don't try to get around access controls, or view or change data you haven't been given access to.
- Don't probe, scan or test the platform's security without our written permission. If you find a vulnerability, report it to support@mindshiftagency.com.
- Don't upload malware, scrape the platform, or send automated traffic that overloads it.
- Don't impersonate anyone or misrepresent your connection to a provider.
- Don't use the platform to break the law or anyone's rights, including intellectual property and privacy rights.
- Don't resell or white-label the platform without an agreement with us.
Take care
- Your journal and reflections are private; keep other people's secrets out of what you share.
- Don't use the platform for emergencies. If you or someone else is in danger, contact local emergency services.
If the rules are broken
We may hide content, limit features, suspend accounts and report illegal activity to the authorities; providers can suspend people from their own site. Where reasonable, we will tell you first. A suspension keeps your data and can be lifted. To report a problem, email support@mindshiftagency.com.
